Legend Infusion reserves the right to change these Terms and Conditions on the Website from time to time, and by using the Website, you agree to the Terms and Conditions as they appear whether or not you have read them. If at any time you do not agree with these Terms and Conditions, please do not use this Website, products or services.

Parties

LEGEND INFUSION LLC, a Legend Infusion with limited liability registered in terms of the Legend Infusion laws of the USA, has its registered address situated at, 8350 Ashlane Way Suite 104, Springs, Texas 77382.

Member, name, Identity number, and residential address as per the signup of the service in accordance with this agreement, (hereinafter referred to as “Member” for ease of reference).

The member confirms that he/she was not subject to any coercion or inducement as to the manner in which he/she exercised that freedom of choice.

DEFINITIONS

In this AGREEMENT, unless the context indicates otherwise, the following expressions will bear the following meanings:

    • “Agreement” means this agreement and the terms and conditions thereto, read together with all schedules and other Annexure attached hereto.

    • “Business day” means any day excluding a Saturday, Sunday, or recognized public holiday in the USA;

    • “Commencement Date” means the day on which the terms and conditions are accepted by the member, with the electronic signature by clicking on the checkbox that the member confirms and accepts that he/she has read the content of this agreement and accepts the terms and conditions read together with the privacy policy. 

    • “Confidential or Disclosed Information” Means: including, but not limited to, any information of any nature, which may be obtained by either of the Parties from the other, in any form or pursuant to discussions between the Parties, or which can be obtained by examination, testing, visual inspection or analysis; analyses, concepts, compilations, studies and other material prepared by or in possession or control of the recipient which contains or otherwise reflects or is generated from any such information, any information relating any declared dispute between the parties;

    • "Electronic signature" Rather than signing and initialing throughout the form, signers only have to click a checkbox or button to indicate “I agree" to the terms and conditions given.

    • “Intellectual Property” means any rights or title to and in, without limitation, trademarks, domain names, copyrights, patents, designs, confidential information, and all proprietary rights in and ownership of any idea, discovery, artwork, design, concept, technique or improvement, industry information, know-how, system, methodology, data model, computer software, computer source code and object code, report, correspondence, documentation, flow chart, database, table, calculation, spreadsheet, schematic plan, photograph, presentation, or invention, (whether patented or not) and any other rights of a similar nature which exist now or will the future exist, and whether registered or not;

    • “Membership” means access to the General Wellness services from Legend Infusion.

    • “Membership Period” means the period between the date when membership is entered into and the membership period selected and ending on the termination date and time as specified in the membership schedule or if such period is amended, the time and date of the amendment. The membership period shall continue automatically on the subscription chosen.

    • “Membership Schedule” means the schedule with regards to the payment plan/s selected and contribution for the membership for access to the General Wellness, information, and the use of service from Legend Infusion as amended from time to time.

    • “month/s” means a month recorded on the Gregorian Calendar and where a month is used to calculate a period, the period will be calculated between the same dates in successive calendar months.

    • “Member” means a person who signed up for a plan or joined the Legend Action Network.

    • “Party” means either Legend Infusion, or the member individually as the case may be;

    • “Signature Date” means the signature or electronic signature date that the terms and conditions are accepted by the member, by clicking the check box, the parties accept the terms and conditions and any policies, which will constitute a legally binding agreement between the parties.

INTERPRETATION

In this Agreement: 

    • References to a statutory provision include any subordinate legislation made from time to time under that provision and include that provision as modified or re-enacted from time to time; 

    • Words importing any particular gender include the other genders (i.e., the masculine, feminine and neuter genders, as the case may be); the singular includes the plural and vice versa; and natural persons include artificial persons and vice versa; 

    • references to a “person” include a natural person,  Legend Infusion, close corporation or any other juristic person or other corporate entity, a charity, trust, partnership, joint venture, syndicate, or any other association of persons; 

    • if a definition imposes substantive rights and obligations on a Party, such rights and obligations shall be given effect to and shall be enforceable, notwithstanding that they are contained in a definition;

    • any definition, wherever it appears in this Agreement, shall bear the same meaning and apply throughout this Agreement unless otherwise stated or inconsistent with the context in which it appears; 

    • if there is any conflict between any definitions in this Agreement then, for purposes of interpreting any clause of the Agreement or paragraph of any Annexure, the definition appearing in that clause or paragraph shall prevail over any other conflicting definition appearing elsewhere in the Agreement; 

    • where any number of days is prescribed, those days shall be reckoned exclusively of the first and inclusively of the last day unless the last day falls on a day which is not a Business Day, in which event the last day shall be the next succeeding Business Day; 

    • where the day upon or by which any action is required to be performed is not a Business Day, the Parties shall be deemed to have intended such act to be performed upon or by the next succeeding Business Day; 

    • any provision in this Agreement which is or may become illegal, invalid, or unenforceable in any jurisdiction affected by this Agreement shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall be treated as having not been written (i.e. pro non scripto) and severed from the balance of this Agreement, without invalidating the remaining provisions of this Agreement or affecting the validity or enforceability of such provision in any other jurisdiction; 

    • the rule of construction is that if general words or terms are used in association with specific words or terms which are a species of a particular genus or class, the meaning of the general words or terms shall be restricted to that same class (i.e. the eiusdem generis rule) shall not apply, and whenever the word “including” is used followed by specific examples, such examples shall not be interpreted to limit the meaning of any word or term to the same genus or class as the examples are given; and

    • the rule of Construction that the Agreement shall be interpreted against the Party responsible for the drafting or preparation of the Agreement shall not apply.

    • the expiration or termination of this Agreement shall not affect such of the provisions of this Agreement which are expressly provided to operate after any such expiration or termination, or which of necessity must continue to have effect after such expiration or termination, notwithstanding that the relevant provisions themselves do not provide for this.

    • Any reference to an enactment is to that enactment as at the date of signature hereof and as amended or re-enacted from time to time.

    • Expressions defined in this Agreement shall bear the same meanings in schedules or annexure to this Agreement which do not themselves contain their own definitions.

    • If any provision in a definition or in the preamble is a substantive provision imposing rights or obligations on any party, notwithstanding that it is only in the definition clause, effect shall be given to it as if it were a substantive provision in the body of the agreement.

    • Where figures are referred to in numbers and in words, if there is any conflict between the two, the words shall prevail.

    • Except as expressly provided to the contrary herein, each paragraph, clause, term and provision of this Agreement and any portion thereof shall be considered severable and if for any reason any part of this Agreement is held to be invalid, contrary to, or in conflict with any applicable present or future law or regulation or in terms of a final, binding judgment issued by any Court, it shall not impair the operation of, or have any other effect upon, such other portions of this Agreement as may remain otherwise intelligible, which shall continue to be given full force and effect and bind the parties hereto.

    • The words “shall” and “will” and “must” used in the context of any obligation or restriction imposed on a party shall have the same meaning.

    • No provision of this Agreement shall (unless otherwise stipulated) constitute a stipulation for the benefit of any third person (stipulatio alteri) who is not a party to this Agreement.

    • The use of any expression which is relevant to a process available under the United States of America (including “liquidation”, “winding up”, “insolvency” and “judicial management”) shall, if any party to this Agreement is subject to the laws of any other jurisdiction, be interpreted as to include any equivalent or similar process under the law of that other jurisdiction.

Preamble

Legend Infusion and/or the Legend Action Network membership is exclusive to club members as part of the Home Care Agency to have access to the Legend Infusion services, and access websites, app, training and education.

Essential Terms of the Membership Agreement.

The parties, duly authorized thereto, hereby enter into a membership agreement subject to the terms and conditions as set out in this agreement:

Terms of Membership.

Now wherefore the parties agree that:

    • Legend Infusion hereby provides access to the member as per the terms and conditions herein from the commencement date or as reasonably soon as possible, being the date of the signature or electronic signature, the General Wellness which included services, software, app, etc. described herein for the membership amount payable.

    • The parties agree to the commencement date of the electronic signature. The first payment date shall be the date of signup and thereafter, each and every month at the same date of the following months or as per the plan chosen.

    • Member acknowledges and warrants that:

    • The membership has been selected by the member. The member shall pay the membership fees set as agreed upon signup. All such payments or any other payments owing in terms of this agreement shall be made without deduction of any nature.

    • The member shall not be entitled to withhold payment of any memberships for any reason whatsoever or be entitled to claim any remission of membership in any circumstances.

    • All payments in terms of this agreement shall be made without set-off or deduction or withholding of any nature, free of bank or other charges through a secure payment gate via card platform or at such other place as the Legend Infusion or its cessionary/ies may direct in writing.

    • If the member fails to affect any payment in terms of this agreement on the due date thereof such overdue amount shall be subject to administrative costs, which include, but are not limited to interest, reminder letters, and legal fees, including collection commissions, storage charges, costs of sale, selling commission, disassembly and removal charges, shipping fees and any other fees and charges are for the account of the member and are due on demand as and when incurred.

    • The Legend Infusion may appropriate any payments made by or on behalf of the member to any indebtedness of whatsoever nature of the member to the Legend Infusion.

    • Notwithstanding the foregoing member’s signature or electronic signature of the terms and conditions which is deemed as his or her signature hereto constitutes the member’s authority to Legend Infusion or his cessionary/ies to draw against the member’s bank account wherever it may be, the amounts due in terms of this agreement.

Duration 

    • Month to month, auto-renews until canceled as per the cancelation procedure. 

    • The General Wellness included services, software, and training as per the membership chosen, starting from the commencement date and continuing until canceled. 

    • If the member wishes to cancel the membership after the period they shall notify Legend Infusion in writing via email at hello@legendinfusion.com. (see cancelation procedure)

    • The member acknowledges that in terms of the Value Added Tax Act (“VAT/GST”), VAT/GST at the prevailing rate as of the date of signature hereto has been excluded in each membership. In the event of any change in the rate at which VAT/GST is payable and/or in the amount of VAT/GST payable in respect of the membership payments, the memberships which fall due on or after the date of the said change shall be recalculated accordingly and the said recalculated memberships shall substitute the memberships which were calculated at the old rate. VAT/GST is excluded, and the member will be responsible for the payment of VAT/GST.

Default Payments And Breach

    • If member defaults in the punctual payment of any monies as it falls due in terms of this membership agreement; or fails to comply with any of the terms and conditions of, or its obligations under this agreement or commits any deed of insolvency or being a natural person, assigns surrenders or attempts to assign or surrender his estate, or allows a default judgment to remain unsatisfied for a period of seven days or be refused rescission within 14 (Fourteen) days of any default judgment or is sequestrated or placed under judicial management or wound up, whether provisionally or finally, or compromises with any of his creditors or endeavours or attempts to do so, or makes any incorrect or untrue statement or representation in connection with this agreement or member ’s financial affairs or any particulars relevant thereto, or breaches any warranty given in terms of this agreement, or does or allows to be done anything that might prejudice  Legend Infusion’s rights under this agreement then and upon the occurrence of any of these events the Legend Infusion may without prejudice to any of its rights elect to:

        ◦ Limit access to software, websites dashboard, etc.

        ◦ claim immediate payment of all amounts which would have been payable in terms of this agreement, all legal costs including legal expenses on the attorney and own member scale and as agreed pre-estimated liquidated damages, the aggregate of the memberships which would have been payable had the agreement continued until expiry by effluxion of time; or

        ◦ Immediately terminate this agreement, retain all amounts already paid by the member, and claim all outstanding membership fees for the remainder of the membership period as an early cancelation penalty, all legal costs including legal expenses on the attorney and own member scale and as agreed pre-estimated liquidated damages, the aggregate of the memberships which would have been payable had the agreement continued until expiry by effluxion of time, plus interest, including collection commissions, storage charges, costs of sale, selling commission, disassembly and removal charges, shipping fees and any other fees and charges are for the account of the member and are due on demand as and when incurred.

    • The member’s signature or electronic signature confirms the member’s intention and acknowledgment in respect of this agreement and that the monthly membership fees are deducted as per the membership fees chosen and the member grants the Legend Infusion the required permission to continue with this arrangement as per the membership agreement.

    • Should the member fail to comply with any of the provisions of this agreement, Legend Infusion shall be entitled but not obliged to affect such compliance on behalf of the member.

    • A certificate under the hand of any manager of Legend Infusion, as given from time to time, in respect of the indebtedness of the member in terms of this agreement or in respect of any other fact shall be prima facie evidence of the member’s indebtedness to Legend Infusion and/or such other fact. It shall not be necessary to prove the appointment of the person signing such certificate.

Service Suspension Due To Non-Payment Of Membership Fees 

    • The member services will cease in the event of non-payment and any membership discounts will be revoked. Payments will be due as per the membership option chosen.

    • In the event of non-payment, services will cease. Irrespective of the cessation of services, the deduction of membership fees will continue to be deducted during the period of late or non-payment.

    • Activation of services will be reinstated once full payment as per the membership agreement has been received.

    • In the event of cancellation under any circumstance, the member must follow and adhere to the cancellation policy. 

    • Should you sign or electronically sign this agreement by clicking the checkbox, you are accepting the terms of the agreement and privacy policy. 

    • The member who signs or electronically signs this agreement and accepts the terms and conditions hereof, together with the individual who effects payment in respect of the membership will be held liable for all outstanding membership fees.

Whole Agreement

This agreement constitutes the whole agreement between the parties in relation to the subject matter hereof and no party shall accordingly be bound by any undertaking, representation or warranty not recorded herein.

Undertaking To Give Effect To This Agreement

The parties shall respectively cause all resolutions to be passed and undertake to sign all such other documents and do such other things as shall be necessary or requisite to give proper and due effect to the terms of this agreement, or any other matter arising there from, according to its intent and purpose.

Indulgence

No relaxation or indulgence granted or given by Legend Infusion to the member shall be deemed to be a waiver of any of Legend Infusion’s rights in terms of this agreement and such relaxation or indulgence shall not be deemed to be a novation of any of the terms and conditions of this agreement.

Costs

All costs and disbursements, including legal costs on the attorney and own member scale incurred by the Legend Infusion in collecting or endeavoring to collect all or any amounts payable by the member to the Legend Infusion in terms of this agreement or otherwise and all collection commissions, storage charges, selling commission, dismantling and removal charges and all other fees and charges shall be for the account of the member and are payable on demand as and when incurred.

All costs in respect of documentation and administration fees shall be paid by the member.

Applicable Law

This agreement shall in all respects be governed by and construed in accordance with the laws of the USA.

Credit Score

The member consents to the Legend Infusion or its cessionary/ies making inquiries about the member’s credit record with any credit reference agency and any other party to confirm the details on this application. The Legend Infusion or its cessionary/ies may also provide credit reference agencies with regular updates regarding how the member manages its account including their failure to meet agreed terms and conditions. The member consents that credit reference agencies may, in turn, make the records and details available to other credit grantors. The Legend Infusion or its cessionary/ies may also give this information to any person, who, in its opinion, needs it to carry out any of the Legend Infusion or its cessionary/ies’s rights or duties in terms of the agreement. 

Cancelations of Subscription

    • In the event that the cancelation is made within 7 days from the date of subscription, the member did not open any of the education emails, or instructions or access any of the services, etc a full refund will be provided. Any cancelation after 7 days, no refunds.

            ▪ In the event the cancelation is, made after 7 days of delivery, the member will be held liable for the full amount due for the current billing cycle, no exceptions will be made. 

            ▪ Cancelation can be made at a given time during the subscription, all overdue invoices and the billing cycle in which the equipment is returned are due and payable immediately. 

            ▪ If the member does not cancel via the link and return the equipment, the membership will remain active and the billing cycle will continue as normal until the equipment has been returned. 

CANCELATION PROCEDURE

The member claims that Legend Infusion continued to charge the member after a membership subscription was canceled and must prove that:

    • Proof that the cancelation forms were completed and submitted via the online form. The member will need to submit all evidence that the member followed the cancellation policy and followed the procedures with regard to the cancelation. The proof is to be sent to hello@legendinfusion.com.

    • Commission: Earn a percentage of the sales made by the referred customers. The commission percentage and any applicable tiers will be outlined on our platform.

    • Additional Rewards: Paid members may qualify for additional rewards, such as exclusive discounts, credits, or promotional items, based on their referral performance.

Reward Distribution 

Commission and Rewards will be credited to your account within a specified period after the referred customer's action is verified. The verification process and timing will be outlined on our platform. Commissions and rewards will be placed in a wallet and can be withdrawn via PayPal. The initial commission for a new referral will only be paid once the package is delivered and received and will be held in a suspense account. All further payments will be available within 24 hours after payment.

Account Activity and Subscription Service 

To receive commissions or rewards, your account must be active and in good standing, meaning that your subscription service is paid for and current. If your account is not active, you will not receive commissions or rewards and be given a 3-day grace period before the app is switched off. Additionally, if your account remains in arrears for more than 14 days, you forfeit any commissions and rewards to the company.

Import Taxes and Duties 

Shipping of rewards may incur import taxes and duties, depending on the destination country. These additional charges are the responsibility of the recipient and must be paid upon delivery. 

Prohibited Conduct

Participants must not engage in any fraudulent, unethical, or illegal activities to obtain referrals. This includes, but is not limited to:

    • Creating fake accounts

    • Using bots or automated systems to generate referrals

    • Misleading potential customers with false information

    • Engaging in spammy or aggressive marketing tactics

    • Violating any local, state, or federal laws in the process of obtaining referrals

Failure to adhere to these rules will result in immediate termination from the referral program. In such cases, all commissions and rewards earned up to that point will be forfeited to the company. Additionally, any actions that are deemed harmful to the reputation of the company will be grounds for banning from the program.

You will also be required to return any packages that are in your possession if any.

Termination and Modifications 

We reserve the right to terminate or modify your membership to the Legend Action Network Referral Program at any time, with or without notice. Any changes will be posted on our platform and will become effective immediately upon posting.

Limitation of Liability 

We are not responsible for any losses or damages resulting from participation in the referral program. Our liability is limited to the value of the rewards earned in accordance with these terms.

Dispute Resolution 

Any disputes arising from or related to the Legend Action Network Referral Program will be resolved through binding Arbitration.

Governing Law 

These terms and conditions are governed by and construed in accordance with the laws of the United States.

Disclaimer of Warranties

(a) Use at Your Own Risk: The App and its content are provided on an "as is" and "as available" basis. You acknowledge that your use of the App is at your own risk. Legend Infusion disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

(b) Content Accuracy: Legend Infusion does not warrant or guarantee the accuracy, completeness, or usefulness of the information provided through the App. The App may contain errors, omissions, or outdated information. You are solely responsible for any actions taken based on the information obtained from the App.

Descriptions

Legend Infusion reserves the right to modify or discontinue the App, temporarily or permanently, with or without notice. We may also revise these Terms from time to time. The most current version of the Terms will supersede all previous versions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the USA. Any legal action or proceeding arising out of or relating to these Terms or the use of the App shall be subject to the exclusive jurisdiction of the courts located within the USA.

Severability

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable from the remaining provisions and shall not affect the validity and enforceability of the remaining provisions.

By downloading and accepting the terms and by using the App with login details provided, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. 

The member hereby, by clicking accept, constitutes an electronic signature and agrees to be bound to the terms and conditions of this agreement. The member’s intention is confirmed by the acceptance of the terms and conditions. Any updates and changes in respect hereof will be communicated to the member.
